1. Agreement to Terms

By accessing or using Freelance Portal (“Service”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service and all applicable laws. If you do not agree with any part of these terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Yusuf Sahin, doing business as Freelance Portal.

2. Who We Are

Freelance Portal is operated by Yusuf Sahin, an individual doing business as Freelance Portal, located in the Commonwealth of Virginia, United States.

3. Description of Service

Freelance Portal is a project management and client collaboration platform designed for freelancers. The Service allows you to:

• Create and manage client projects
• Upload, share, and track approval of project files
• Generate and send invoices to clients
• Accept payments through Stripe
• Share a client portal link for file review and approvals

Files are stored via Supabase (end-to-end encrypted). Payments are processed by Stripe, a PCI-compliant payment processor. We are not a law firm, financial advisor, or accounting service.

4. Account Registration & Age Requirements

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

Age Requirements:

• 18 years or older: You may use the Service without restriction.
• Ages 13–17: You may only use the Service with verifiable parental or guardian consent. A parent or guardian must agree to these Terms on your behalf.
• Under 13: You are NOT permitted to use the Service. See our Privacy Policy for our COPPA compliance details.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

5. Subscription Plans & Billing

We offer the following plans:

Pro subscriptions automatically renew monthly at $29 on your billing anniversary date. You will be charged using the payment method on file with Stripe.

You may cancel your subscription at any time through your account Settings. Cancellation takes effect at the end of your current billing period — you will retain Pro access until that date.

6. Payment & Refund Policy

All payments are processed securely by Stripe. We never store your credit card number or payment details on our servers.

NO REFUNDS: All subscription fees are non-refundable. We do not provide refunds for partial months, unused time, or any other reason. By subscribing, you acknowledge and agree to this no-refund policy.

If you cancel mid-cycle, you will not be charged for the next billing period, but no refund will be issued for the current period already paid.

In the event of a billing dispute, contact us at metmerg@gmail.com before initiating a chargeback. Fraudulent chargebacks may result in account termination.

7. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable law or regulation
• Upload or share illegal, harmful, or infringing content
• Impersonate any person or entity
• Attempt to gain unauthorized access to any part of the Service
• Transmit malware, viruses, or other harmful code
• Use the Service for spam or unsolicited communications
• Reverse engineer, scrape, or otherwise misuse the Service
• Conduct fraudulent transactions or money laundering

You are solely responsible for all content you upload, share, or transmit through the Service.

8. Files, Data & Backups

Files you upload are stored on Supabase infrastructure with AES-256 encryption at rest and TLS encryption in transit. While we take reasonable measures to protect your data, no storage system is 100% infallible.

You are responsible for maintaining your own backups of any files you upload. We are not liable for data loss, corruption, or accidental deletion.

Upon account deletion, your data will be permanently removed within 30 days. Backup copies may persist for up to 90 days.

9. Client Portal

The Service generates shareable client portal links that allow your clients to view project files and approve or reject deliverables without creating an account. By sharing a portal link, you acknowledge that anyone with the link can access the associated project files.

You are responsible for sharing portal links only with authorized recipients. We are not liable for unauthorized access resulting from link sharing.

10. Intellectual Property

Your content: You retain all ownership rights to files, projects, and data you create or upload. By using the Service, you grant us a limited, non-exclusive license to store, process, and display your content solely to provide the Service to you.

Our platform: The Service, including its design, code, features, and branding, is owned by Yusuf Sahin and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of the platform without our written permission.

11. Account Termination

By you: You may delete your account at any time through Settings. No refunds will be issued for remaining subscription time.

By us: We may suspend or terminate your account for violations of these Terms. We will generally provide 7 days’ written notice before termination, except in cases of severe violations (illegal activity, fraud, security threats) where immediate termination may occur without notice.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days post-termination before permanent deletion.

12. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. Indemnification

You agree to indemnify, defend, and hold harmless Yusuf Sahin, Freelance Portal, and any affiliates, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you upload or share through the Service

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration in Virginia, in accordance with applicable arbitration rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction in Virginia for matters involving intellectual property or imminent harm.

If arbitration is not applicable, you consent to the exclusive jurisdiction of the courts located in the Commonwealth of Virginia.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by prominently posting a notice on the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

The “Last Updated” date at the top of this page reflects when these Terms were most recently revised.
